Terms & Conditions
These Terms and Conditions govern the use of documentation, archival, and heritage conversation services provided by Reedwild. By engaging our services or submitting an enquiry, you confirm you have read and agree to these terms.
1. Definitions
In these Terms and Conditions the following definitions apply:
- "Reedwild", "we", "us", "our" refers to Reedwild, a documentation and heritage archive service provider registered in Ipoh, Perak, Malaysia.
- "Service" means any estate documentation, paper organisation, heritage conversation programme, or archival retainer provided by Reedwild.
- "Client", "you", "your" means the individual or household that has engaged or enquired about a Service.
- "Agreement" means these Terms and Conditions together with any written engagement letter or programme confirmation issued by Reedwild.
- "Materials" means documents, photographs, letters, recordings, and other items provided by the Client for the purposes of a Service.
- "Deliverables" means the folder systems, written summaries, booklets, or printed heritage volumes produced by Reedwild in connection with a Service.
- "Programme Fee" means the fee quoted in Malaysian Ringgit (RM) for a specific Service engagement.
2. Acceptance of Terms
By submitting an enquiry form, confirming an engagement in writing, or making payment towards a Service, you confirm that:
- You are at least 18 years of age and have the legal capacity to enter into this Agreement.
- You have read, understood, and agree to be bound by these Terms and Conditions.
- Where you act on behalf of a family or household, you confirm you have the authority to bind that group to these Terms.
If you do not agree to these Terms, please do not proceed with an engagement.
3. Service Description
Reedwild provides three distinct documentation and heritage services, each purely administrative, educational, or archival in nature:
- Estate Receipt & Paper Tidy — a short two-visit administrative engagement to sort and organise household documents and receipts.
- Reflective Heritage Conversation Series — a four-session reflective and educational programme that guides family recollections and produces written summaries and a heritage booklet.
- Heritage Slow Programme — a twelve-month archival retainer involving quarterly visits, scanning, transcription, and production of a printed heritage volume.
Our Services are available to households in Ipoh and the broader Perak region. Remote or written-consultation arrangements for families outside this area may be discussed on enquiry.
Reedwild Services do not constitute financial, legal, or medical advice of any kind. Any documents handled are treated as family records only.
4. Service Engagements and Scope
Each engagement is confirmed by a written programme letter from Reedwild setting out the specific scope, schedule, and programme fee. That letter, together with these Terms, constitutes the complete Agreement.
Changes to scope — including additional visits, extended transcription work, or additional printed copies — must be agreed in writing before work begins. Additional scope will be quoted separately in RM and invoiced accordingly.
Reedwild will use reasonable professional care in carrying out all Services. Visit schedules are arranged in consultation with the Client and may be rescheduled by either party with at least 48 hours' notice. We will make one free rescheduling per visit; additional rescheduling may attract a modest coordination fee as stated in the programme letter.
5. Payment Terms
All fees are quoted and payable in Malaysian Ringgit (RM). Current Programme Fees are:
- Estate Receipt & Paper Tidy: RM 340
- Reflective Heritage Conversation Series: RM 2,140
- Heritage Slow Programme: RM 4,680 per annum
Payment may be made by bank transfer (Maybank, CIMB, or RHB), FPX online payment, or cash upon visit. Payment terms for each programme are as set out in the programme letter. For longer engagements, a deposit of 30% is due upon confirmation, with the balance payable as agreed in the programme schedule.
Refund Policy: Deposits are refundable in full if the Client withdraws within 5 business days of the programme letter being issued. After that point, deposits are non-refundable. For completed visits or sessions, fees for those completed portions are not refundable. Reedwild will pro-rate any remaining balance if a programme is ended early at the Client's request.
Reedwild reserves the right to pause work on an engagement where payment is more than 14 days overdue, and to terminate the Agreement where payment remains outstanding after 30 days.
6. Client Responsibilities
The Client agrees to:
- Provide accurate information about the scope of materials to be documented prior to engagement.
- Ensure a suitable space and reasonable access is available for agreed visits.
- Retain ownership and responsibility for all original Materials throughout the engagement; Reedwild will not hold original documents for storage.
- Not request Reedwild to reproduce, interpret, or act upon materials in a manner that would constitute legal, financial, or medical advice.
- Notify Reedwild promptly if any materials are sensitive in nature (such as documents subject to legal proceedings or confidentiality obligations), so appropriate handling can be discussed.
- Treat all working arrangements with Reedwild staff respectfully and professionally during visits.
The Client is solely responsible for any decisions made based on information surfaced during a Reedwild Service.
7. Intellectual Property
All original family Materials remain the property of the Client at all times. Reedwild claims no ownership over documents, photographs, letters, or recordings supplied by the Client.
Deliverables — including written summaries, booklets, and printed heritage volumes — are produced by Reedwild on behalf of the Client. Upon receipt of full payment, the Client is granted a non-exclusive, personal licence to use, reproduce, and share those Deliverables for personal and family purposes.
Reedwild retains copyright in any templates, systems documentation, and proprietary methodologies used in the delivery of Services. The Client may not reproduce or commercially exploit Reedwild's working methods, templates, or house style.
8. Confidentiality
Reedwild treats all Client information, family histories, and Materials encountered during a Service as confidential. We will not disclose, share, or discuss Client materials with any third party except where required by Malaysian law, a court order, or with the express written consent of the Client.
Staff and freelance collaborators engaged by Reedwild on any project are required to sign confidentiality undertakings prior to accessing any Client materials.
The Client acknowledges that conversational sessions may involve multiple family members, and that the content of those sessions may be recorded in written summaries shared with the Client. Reedwild will not independently publish or disclose the content of such sessions.
9. Disclaimers
Reedwild provides Services on the basis of professional care and good faith. We do not provide legal, financial, genealogical certification, or medical advice of any kind. Deliverables are family records and should not be relied upon as authoritative legal or official documents.
We do not warrant that Deliverables will be free from all errors. Where the Client identifies a factual error in a Deliverable arising from information supplied by Reedwild rather than the Client, we will correct that error at no charge within 14 days of notification.
The condition and completeness of original Materials is the Client's responsibility. Reedwild will take reasonable care with Materials during visits but accepts no liability for pre-existing deterioration or damage to documents.
10. Limitation of Liability
To the maximum extent permitted by Malaysian law, Reedwild's total liability to the Client in connection with any Service shall not exceed the Programme Fee paid by the Client for that specific engagement.
Reedwild shall not be liable for any indirect, consequential, or special loss arising out of or in connection with a Service, including loss of documents due to unforeseen deterioration, third-party claims, or decisions made by the Client based on Deliverables.
Nothing in these Terms limits Reedwild's liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
Force majeure events — including natural disasters, illness, government restrictions, or other circumstances beyond our reasonable control — may affect delivery timelines. Reedwild will notify the Client promptly and reschedule accordingly without penalty.
11. Indemnification
The Client agrees to indemnify and hold harmless Reedwild, its staff, and collaborators from any claims, losses, damages, or expenses (including reasonable legal fees) arising from:
- Misrepresentation by the Client regarding the nature or ownership of Materials.
- The Client's use of Deliverables in a manner not authorised by these Terms.
- Third-party claims relating to Materials provided by the Client that infringe the rights of others.
12. Termination
Either party may terminate an engagement by giving 14 days' written notice. Upon termination:
- The Client shall pay for all work completed up to the termination date on a pro-rated basis.
- Reedwild will deliver any partially completed Deliverables in their current state at the point of termination.
- Both parties' confidentiality obligations survive termination indefinitely.
Reedwild reserves the right to terminate an engagement immediately if the Client acts in a manner that is abusive, dishonest, or otherwise makes continuation of the professional relationship impractical.
13. Dispute Resolution
These Terms are governed by the laws of Malaysia. Any disputes arising shall first be subject to informal resolution: the Client should raise concerns in writing to [email protected], and Reedwild will respond within 10 business days with a proposed resolution.
If informal resolution fails, parties agree to refer the dispute to mediation under the auspices of the Asian International Arbitration Centre (AIAC) before commencing court proceedings.
The courts of Ipoh, Perak shall have jurisdiction over any unresolved disputes, subject to the rights of either party to seek urgent injunctive relief in any court of competent jurisdiction.
14. General Provisions
Entire Agreement: These Terms together with the programme letter constitute the entire agreement between the parties and supersede all prior discussions, representations, or arrangements.
Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remainder of the Terms shall continue in full force.
Waiver: Reedwild's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any future right to enforce it.
Assignment: The Client may not assign their rights under these Terms without Reedwild's prior written consent. Reedwild may engage qualified freelance collaborators to assist with Services, provided they are bound by equivalent confidentiality obligations.

15. Changes to These Terms
Reedwild may update these Terms from time to time to reflect changes in our services, applicable law, or operational practice. We will publish the revised Terms on our website and indicate the updated date above. For ongoing engagements, material changes will be communicated to the Client in writing at least 14 days before they take effect.
Continued engagement with our Services after the effective date of a revision constitutes acceptance of the updated Terms.
